Higher Circle Crowdfunding Project: Souley Vegan Grab and Go

Souley Vegan is a vegan soul food restaurant located in downtown Oakland, California. Founded by Tamearra Dyson, our enterprise is more than a restaurant or a brand, we provide a place where the community comes to gather, feel good, meet new people and learn new things. Souley Vegan has a heartbeat and you can feel it when you walk in and hear the music, taste the food and receive genuine customer service. The careful joy and sincere love that goes in to the recipes provides not only a good taste in your month, but also a good feeling in your soul. We would like to offer that to the world through a major expansion of the Souley Vegan Grab and Go line.

Souley Vegan food puts a satisfied smile on your face. We make 100% vegan, 100% delicious BBQ Tofu, Southern Fried Tofu, Okra Gumbo, Mac and Cheese, Potato Salad, Grandpa's Peanut Butter Pie and more. We believe that making our products more accessible through Souley Vegan Grab and Go will help aid those who are trying to change their diet for the better. By selling our products at markets, we become a part of, if not the reason for, more health-conscious choices people make when shopping.

We currently supply four Bay Area markets with Souley Vegan Grab and Go, among them Berkeley Bowl and Rainbow Grocery. That is the extent of our capability given our current production space. The response to our products from customers has been fantastic and Whole Foods has expressed interest in carrying our line, but we can’t produce on a larger scale without our own production kitchen that is solely dedicated to supplying stores. We want to make Souley Vegan Grab and Go available at markets throughout the San Francisco Bay Area and eventually sell our food on airlines and Amtrak and even expand with a national frozen foods line.

This is a huge undertaking that will take $150,000 to launch. Our Higher Circle crowdfunding campaign is the first phase of this effort. If we reach our $25,000 goal, we’ll be able to get the ball rolling with packaging, testing and validation, design and marketing (please see the Financials page for more details).

The more we raise, the closer we’ll be to selling Souley Vegan Grab and Go in your neighborhood!

Our Story

Tamearra Dyson began Souley Vegan in 2006 by selling her products at local farmers’ markets. When she took the leap of faith to open the restaurant in 2009, she had $27 in the cash register. The money she earned that day was the money she used to shop for ingredients the next morning and so on. She has never received any loans or grants for the business, yet she’s managed to grow it into a thriving enterprise that has garnered rave reviews, employs 23 Oakland residents and serves some 60,000 customers per year.

Souley Vegan has sustained from hard work, prayer and determination. The community response to our business has been phenomenal, and now we need your support to spread the love and health.

Accredited Investors

In order to make loan, you must be an accredited investor.

Under the Securities Act of 1933, a company that offers or sells its securities must register the securities with the SEC or find an exemption from the registration requirements. The Act provides companies with a number of exemptions. For some of the exemptions, such as rules 505 and 506 of Regulation D, a company may sell its securities to what are known as "accredited investors."

The federal securities laws define the term accredited investor in Rule 501 of Regulation D as:

  1. a bank, insurance company, registered investment company, business development company, or small business investment company;
  2. an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
  3. a charitable organization, corporation, or partnership with assets exceeding $5 million;
  4. a director, executive officer, or general partner of the company selling the securities;
  5. a business in which all the equity owners are accredited investors;
  6. a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person;
  7. a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
  8. a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.
